AMACAR Group Structured Finance Services

General Management Services
AMACAR Group will manage the general operations of an SPE (Special Purpose Entity) by providing the following services:

• Establishing the SPE and maintaining its good standing in the required domestic or international jurisdiction.
• Maintaining general accounting records and arranging for audits.
• Assembling directors for the SPE and holding required meetings.
• Other actions as required by agreement with the SPE.

Director and Officer Services
AMACAR Group will provide independent directors and/or officers experienced in asset securitization to SPEs or bankruptcy remote subsidiaries of issuers. Utilizing AMACAR Group insures that this detail is handled professionally and efficiently.

Ownership of Independent Legal Entities
